1. Eligibility: The Rubio’s Coastal Grill® Rubio’s X Colapinto Brothers Essential Surf Kit Giveaway (the “Promotion”) is open only to legal residents of Arizona, California, and Nevada who are registered users of www.instagram.com and at least eighteen (18) years of age or older at the time of entry. Employees of Rubio’s Restaurants, Inc. (“Sponsor” or “Rubio’s”), and its franchisees, Wasserman Group, Propaganda, Inc., Power Digital Marketing, Inc.,  and each of their parent and affiliate companies and suppliers (“Promotion Entities”), as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee, are not eligible to participate in Promotion or receive a prize. The Promotion is subject to all applicable federal, state, and local laws and regulations and is void outside the listed states and where prohibited. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.

2. Sponsor: Rubio’s Restaurants, Inc., 2200 Faraday Avenue, Suite 250, Carlsbad, CA 92008.

3. Timing: The Promotion begins on March 5, 2024, at 9:00 a.m. Pacific Standard Time (“PST”) and ends on March 20, 2024 at 11:59 p.m. PST (the “Promotion Period”). Sponsor’s computer is the official time-keeping device for this Promotion.

Limit one (1) entry per comment, up to three (3) entries per Instagram registered user account holder.

If you don’t already have an Instagram account, go to the respective websites and create an account. Creating an account is free. Normal time, toll, connection and usage rates, if any, charged by your service provider will apply. Use of script, macro, or other automated systems to participate is prohibited and will result in disqualification. In the event of a dispute as to the identity of an entrant, the authorized account holder will be deemed to be the proper entrant. The “authorized account holder” is the natural person assigned an Instagram account. The potential winner may be required to show proof of being the authorized account holder. PLEASE NOTE THAT A HIGH VOLUME OF ENTRIES OR TECHNICAL DIFFICULTIES WITH THE SYSTEMS MAY RESULT IN TEMPORARY INABILITY TO ENTER THE PROMOTION SUCH THAT YOUR ENTRY IS NOT RECEIVED IN TIME TO PARTICIPATE. SPONSOR IS NOT RESPONSIBLE OR LIABLE SHOULD ANY ENTRIES NOT BE RECEIVED DUE TO SUCH DELAYS OR TECHNICAL DIFFICULTIES.

5. Promotion Drawing/Odds: Two (2) Potential Grand Prize winners will be chosen at random from all eligible entries received during the Promotional Period. The drawing will occur on or about March 18, 2024. Winners will be notified by direct message on Instagram by Sponsor within approximately two (2) days of the drawing.

Odds of winning are dependent on the number of Entries received during the Promotion Period.

6. Prizes: Two (2) Grand Prizes: Two (2) Grand Prizes are available to be awarded: Rubio’s X Colapinto Brothers Surf Essentials Kit (the “Kit”). Each Kit is comprised solely of the following elements:

The ARV of the Grand Prize is $1,604 OR $1,514**

THE GRAND PRIZE IS AWARDED “AS IS” WITH NO GUARANTEE. ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE HEREBY DISCLAIMED BY THE CONTEST PARTIES. ALL PRIZE DETAILS ARE AT SPONSOR’S SOLE DISCRETION. ANY COSTS AND EXPENSES ASSOCIATED WITH PRIZE ACCEPTANCE AND USE NOT SPECIFIED HEREIN AS BEING PROVIDED ARE WINNERS’ SOLE RESPONSIBILITY.

*The selection of the Grand Prize surfboard provided as part of this promotion shall be conducted at random, and no requests for specific surfboard preferences by the winners shall be entertained or considered.

**The Grand Prize winner randomly selected to receive the signed Griffin surfboard shall also be entitled to receive the accompanying Skull Candy Stomp™ Wireless Bluetooth® Speaker as part of the prize package. Additionally, the Grand Prize winner randomly selected to receive the signed Crosby surfboard shall also be entitled to receive the accompanying Skull Candy Crusher® ANC 2 Sensory Headphones with Active Noise Canceling as part of the prize package.

Winner shall be solely responsible for all taxes and fees or costs associated with any prize, including but not limited to any federal or state or other income tax and will be required to provide completed W-9. Grand Prize will only be awarded by Sponsor upon potential winners’ verification of eligibility and final approval by Sponsor. No prize substitution, cash equivalent of prizes, transfer or assignment of prizes is permitted, except by Sponsor which reserves the right to substitute a prize with one of comparable or greater value, in its sole discretion. Grand Prize (or any component thereof) details and availability are subject to change, in which case a prize of equal value may be substituted at Sponsor’s sole discretion. Grand Prize consists only of the items listed, are non-transferable, with no cash redemption or substitution except at Sponsor’s sole discretion. Sponsor will determine all Prize details in its sole discretion.

7. Winner Notification: Sponsor will notify potential Winner on or about March 23, 2024, via Instagram Direct Message. If a potential winner does not reply within two (2) days, or is deemed ineligible in Sponsor’s sole discretion, the prize will be forfeited. In the event that a potential winner is disqualified for any reason, or a prize comes back as undeliverable, Sponsor will award the applicable prize to an alternate winner from among all remaining eligible entries. In Sponsor’s discretion, only three (3) alternate drawings will be held, after which the applicable prize will remain unawarded. The Sponsor reserves the right to modify the notification procedures in connection with the selection of an alternate winner, if any. Potential winner is subject to verification by Sponsor whose decisions are final and binding in all matters relating to this Promotion. An Entrant is not a winner of any prize regardless of notification unless and until Entrant’s eligibility is verified.

8. General Conditions of Entry: This Promotion is intended for participants in AZ, CA and NV only and shall only be construed and evaluated according to the laws of those states and federal law. You are not authorized to participate if you are not located within AZ, CA or NV. By participating, Entrants (a) agree to be bound by these Official Rules and the decisions of the Sponsor , which shall be final in all respects, (b) agree that they are bound by the Terms of Service of Instagram regarding posting, (c) agree that any dispute arising under this Promotion will be governed by, and construed in accordance with, the laws of the State of California, United States of America, without giving effect to any choice of law or conflict of law rules, (d) consent to the jurisdiction and venue of the federal, state, and local courts located in San Diego, CA, and (e) hereby release the Promotion Entities, Instagram, each of their respective officers, directors, agents, representatives and employees; and each of these companies and individuals’ respective successors, representatives and assigns (collectively, the “Released Parties“) from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from or in connection with participation in this Promotion and/or acceptance or use of any awarded prize. Entrants agree to indemnify and hold the Released Parties harmless from and against any claims arising out of a breach by Entrant of any of the representation and warranties contained in these Official Rules.

The Released Parties shall not be liable for: (i) late, lost, delayed, stolen, misdirected, incomplete, unreadable, inaccurate, garbled or unintelligible entries, communications or documents, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays, inability to upload or download or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind caused by any prize or resulting from the acceptance, possession or use or misuse of such prize, or from participation in the Promotion; or (v) any printing, human typographical, administrative or technological errors in any materials associated with the Promotion . Sponsor disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Promotion , and reserve the right, in its sole discretion, to cancel, modify or suspend the Promotion should a virus, bug, computer problem, unauthorized intervention, human error or other error, corrupt the administration or security of the Promotion. Sponsor shall not be responsible if the Promotion cannot be implemented or if a prize cannot be awarded due to delays or interruptions due to acts of God, acts of war, civil disturbance, strikes, governmental or legal action, natural disasters, weather or acts of terrorism. Any and all disputes, claims, and causes of action arising out of or in connection with this Promotion  shall be resolved individually, without resort to any form of class action. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS PROMOTION. ENTRANT HEREBY WAIVE ANY RIGHTS OR CLAIMS TO ATTORNEY’S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ENTRANT, IDENTIFIABLE PERSONS, OR THIRD PARTY PARTICIPANTS, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE PROMOTION WEB SITES OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE PROMOTION. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

Sponsor reserves the right, at its sole discretion, to disqualify any individual found, in its sole discretion, to be (a) tampering with the entry process or the operation of the Promotion, Mobile App or www.Rubios.com(the “Web site”); (b) in violation of the Terms of Service of the Web site; (c) acting in violation of the Official Rules; or (d) acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.  Any use of robotic, automatic, macro, programmed, third party, or like entry methods will void all such entries, and any participant using any such method will be disqualified.

By entering you grant Promotion Entities a non-exclusive, non-revocable, perpetual, worldwide license to publish, reproduce, distribute, display, exhibit, transmit, and otherwise use, and permit others to use your Entry in any manner, form, or format now or hereinafter created, including on the internet, and for any purpose, including, but not limited to, advertising or promotion of Promotion Entities and Promotion Entities’ goods and/or services, all without further consent from or payment to you. Sponsor reserves the right to post any Entry on the Sponsor’s website, but Sponsor has no obligation to post or publish to do so and it has no effect on the Promotion.

9. Privacy Policy: Any personal information supplied by you when entering this Promotion will be subject to the Sponsor’s privacy policy posted on https://www.rubios.com/privacy. In addition, unless prohibited by the applicable privacy policy or by law, by entering the Promotion, you grant the Promotion Entities permission to share your email address and any other personally identifiable information with the other Promotion Entities, and any other organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement or promotion of the Promotion, for the purpose of administration and prize fulfillment.

10. Official Rules/Winner List: The official rules will be available for review and the list of winners will be accessible at rubios.com/colapinto-surf-essentials-giveaway until April 30, 2024. The winners will be publicly announced on or about March 23, 2024, and their identities will remain posted on the Giveaway post for a minimum of 30 days subsequent to the determination.
